JDS Lanka – Business Terms and Conditions​

These Terms and Conditions govern the sale of products and services by JDS Lanka. By placing an order
with JDS Lanka, the customer agrees to be bound by these Terms and Conditions.

1. General

• These Terms and Conditions apply to all quotations, sales, deliveries, and services provided by JDS Lanka unless otherwise agreed in writing.
• JDS Lanka reserves the right to amend these Terms and Conditions at any time without prior notice.

2. Products

• JDS Lanka supplies printers, toner cartridges, ink cartridges, computers, photocopy paper, office stationery, accessories, and other related office equipment and supplies.
• Product images, specifications, and descriptions are provided for reference only. Actual products may vary depending on the manufacturer.
• Product availability is subject to stock at the time of order confirmation.

3. Quotations

• All quotations are valid for the period stated on the quotation or, if no period is stated, for seven (7) days from the date of issue.
• Prices are subject to change without prior notice due to changes in supplier pricing, exchange rates, taxes, or other unforeseen circumstances.

4. Orders

• Orders become binding only after acceptance by JDS Lanka.
• JDS Lanka reserves the right to refuse or cancel any order due to stock shortages, pricing errors, suspected fraud, or other valid business reasons.

5. Pricing and Taxes

• All prices are quoted in Sri Lankan Rupees (LKR) unless otherwise specified.
• Prices are exclusive of applicable taxes unless expressly stated.
• Delivery, installation, and other service charges may apply unless included in the quotation.

6. Payment Terms

• Payment terms shall be as agreed in the quotation, invoice, or customer agreement.
• Unless otherwise agreed, payment is due before delivery.
• Credit facilities, if approved, shall be subject to agreed payment periods.
• Late payments may result in suspension of further deliveries until outstanding balances are settled.

7. Delivery

• Delivery dates are estimates and may vary depending on product availability and logistics.
• Risk in the goods passes to the customer upon delivery.
• Customers should inspect goods immediately upon receipt and report any shortages, wrong items or visible damage within 48 hours.

8. Ownership of Goods

• Ownership of supplied goods remains with JDS Lanka until full payment has been received.
• JDS Lanka reserves the right to recover goods where payment has not been made according to agreed terms.

9. Returns and Exchanges

• Returns will only be accepted with prior approval from JDS Lanka.
• Products must be undamaged, in their original packaging, and returned within seven (7) days of delivery unless otherwise agreed.

10. Warranty

• Manufacturer warranties apply to eligible products where applicable.
• JDS Lanka does not provide warranties beyond those offered by the manufacturer unless expressly stated in writing.
• Warranty does not cover damage resulting from misuse, improper installation, accidents, unauthorized repairs, electrical faults, or normal wear and tear.

11. Defective Products

• Defective products covered under warranty will be repaired, replaced, or referred to the manufacturer in accordance with the manufacturer’s warranty policy.
• Warranty claims are subject to inspection and approval.

12. Limitation of Liability

• JDS Lanka shall not be liable for indirect, incidental, consequential, or special damages, including loss of business, profits, or data arising from the use of supplied products.
• JDS Lanka’s total liability shall not exceed the purchase price of the relevant product.

13. Force Majeure

• JDS Lanka shall not be liable for delays or failure to perform due to events beyond its reasonable control, including natural disasters, strikes, pandemics, supplier delays, transportation disruptions, government actions, or other unforeseen circumstances.

14. Customer Responsibilities
Customers are responsible for:

1. Providing accurate delivery information.
2. Ensuring compatibility of purchased products with their equipment.
3. Following manufacturer instructions for installation and use.

15. Cancellation

• Orders may only be cancelled with the written consent of JDS Lanka.
• Cancellation charges may apply for special-order or customized products.

16. Intellectual Property

• All trademarks, product names, logos, and brand names remain the property of their respective owners.

17. Privacy

• Customer information will be used solely for business purposes, including order processing, delivery, invoicing, warranty support, and legal compliance. JDS Lanka will not disclose customer information to third parties except where required by law or necessary to fulfill customer orders.

18. Governing Law

• These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
